Panasonic makes some good lower-price 3 chip(3ccd) camcorders.  3 chip will almost always have a MUCH better video quality (almost all in that price range are 1 chip).  They'll be just around $500 for the basic one, about a grand for the one with all the bells and whistles.  

By waterproof housing do you mean just a waterproff bag/case (if so pelican case or watershed bag), or a housing to shoot underwater? Those are much more expensive.
